SecureTech Innovations retains AI UltraProd as wholly owned unit, drops planned spin-off

- AI UltraProd will be managed from the Roseville, Minnesota headquarters under consolidated leadership, targeting U.S. expansion and other markets.
- SecureTech issued 357 additional shares of Series A Preferred Stock to AIUP Holding Limited under the 2025 acquisition terms.
- SecureTech retains full voting and management control; AIUP Holding gained the right to designate one future board member.
