- A USD 25 million unsecured subordinated convertible promissory note matures Dec. 31, 2026; unpaid balances can be converted into equity.
- Net leverage fell to about 2.7x from 3.7x, based on a pro forma July 3, 2026 closing assumption.
- Annualized interest expense is expected to drop about USD 16 million, rising to about USD 17 million once the note is paid.
