- NT1 shareholders would exchange their shares for 50,000,000 Purchaser Shares valued at USD 500 million at USD 10 per share.
- Merger Sub would merge into Plutonian II, converting each Plutonian II ordinary share into one Purchaser Share.
- Closing consideration may be adjusted after an independent valuation and technical report, subject to mutual written agreement.
- Deal includes a USD 500,000 breakup fee for specified breach terminations, plus documented transaction expenses.
