Chip orders begin to bind capital

Qualcomm and Amazon have integrated multi-generation AI chip cooperation and warrants: the further the customer moves in procurement, the greater the right to acquire Qualcomm shares.This changes the way today’s chip companies are evaluated. Securing major clients is important, but how much capital suppliers must spend to get chips into data centers is now becoming a new dimension of competition.

Major Customers Are Purchasing a Delivery Capability Package

The cooperation announced by Qualcomm and Amazon covers custom chips for inference, as well as 1.6Tbps optical interconnects and future generational technologies.Inference refers to having already-trained models process real requests; as usage grows, customers become increasingly focused on per-query costs and whether massive numbers of chips can smoothly exchange data.

Therefore, this collaboration is not just about Qualcomm selling another type of processor.High-speed signal transceivers and optical communication chips are also included in the scope, meaning Amazon is purchasing a roadmap of combined computation and connectivity evolution. Qualcomm management described the project as its core AI accelerator for hyperscale clients, but did not reveal the specific product name; identifying it as a particular Amazon chip would go beyond the facts disclosed.

Qualcomm will also expand its use of Amazon Web Services' AI infrastructure and Bedrock to support chip design workloads, aiming to shorten design cycles.Both sides now purchase each other’s services, making the collaboration deeper in the development phase. However, this does not mean the amounts are equal on both sides, nor can it be taken as proof of already-quantified recurring revenue.

With pressure on Apple modem revenue, data centers have provided new business opportunities for Qualcomm.The company previously estimated that two custom chip hyperscale clients would each contribute over $1 billion in revenue in fiscal 2027, with custom chip revenue starting to be recognized from the December quarter. Compared to distant market potential, this revenue starting point better indicates when the partnership will impact operational statements.

But custom business involves a few clients with large individual projects, giving customers strong bargaining power when selecting suppliers.Qualcomm needs to secure long-term development and procurement positions, while Amazon seeks assurances in technology, supply, and procurement returns. Warrants are a way both parties encode these demands into the collaboration, adding a layer of capital cost to ordinary revenue forecasts.

From an incentive mechanism perspective, progress in procurement not only brings Qualcomm more business but also increases Amazon's right to receive shares.If cooperation lifts Qualcomm’s business value, the client can share in equity value appreciation, which is different from merely bargaining on chip unit prices. However, the amount the client will ultimately receive is subject to exercise prices, then-actual stock prices, and vesting conditions, so one cannot simply equate the number of shares with the cash Qualcomm has paid.

$60 Billion is a Procurement Threshold, Not Guaranteed Revenue

Amazon obtained warrants for up to 25 million Qualcomm shares, about 2.4% of ordinary shares issued as of July 27.The warrants grant the right to buy shares at agreed prices, and the shares vest as binding orders and procurement of chip products, technologies, systems, and manufacturing services progress. The procurement-linked upper limit is $60 billion.

This number is certainly large but can’t be directly plugged into Qualcomm’s future income statement.It describes the procurement arrangements linked to warrant vesting, and does not guarantee a full $60 billion procurement or clarify how much belongs to chips, optical interconnects, or manufacturing services. Revenues and profit structures vary by business line, so treating this threshold as pure high-margin chip sales would overstate both certainty and profitability.

At issuance, 3.75 million shares, or 15% of the warrants, vested due to initial procurement commitments.This is evidence of substantive commitments, but the pro-rated $9 billion is not the disclosed amount of initial orders. The vesting rate signals cooperation has begun but can’t substitute for undisclosed contract values, delivery years, or product portfolios.

The exercise price of the warrants is $161.26 per share, about a 4.4% discount compared to the closing price on September 4, valid until September 2036.If all are exercised, Amazon would need to pay roughly $4 billion, meaning they are not receiving all the shares for nothing. For current Qualcomm shareholders, potential dilution and warrant-related costs must be factored in, not just future sales revenue.

There’s already an observable pricing arrangement, but there’s insufficient evidence to tell how much of a market premium Qualcomm’s valuation gained after the announcement.The warrant exercise price’s discount to the historical closing price is a transaction term; it can’t be interpreted as the stock jump on announcement night, let alone as a proxy for contract profitability. What can be confirmed now is that the client received rights linked to procurement progress, and there’s still no direct evidence of how the stock market will ultimately price this deal.

Qualcomm Must Prove Low Margins Can Still Deliver Good Profits

In addition to the $60 billion threshold, Qualcomm also set a target of $15 billion in data center revenue for fiscal year 2029.This target does not solely belong to Amazon: it includes custom chip clients and also projects such as the Meta CPU and future HUMAIN accelerators expected to contribute at the end of fiscal year 2028. Treating all these projects as current contract extensions obscures their different ramp-up times.

Management says its second custom chip customer’s deal size is similar to Amazon’s, providing another growth path.But "similar size" doesn’t mean identical quarterly revenue curves, as client acceptance, product mix, and manufacturing arrangements all impact profit margins. Qualcomm’s most meaningful change now is having a multi-client data center business, but not yet having equivalently steady profit sources.

The difference between gross margin and operating margin is especially critical here.The former shows how much is left after direct costs, while the latter also factors in R&D and other operating expenses. Qualcomm previously expected early custom chip business to lower overall segment gross margin by 1.5 to 2 percentage points but to positively impact the operating margin. This means low margin projects might still improve overall results through scale and cost efficiency.

The latest statement is that total gross margin will remain near current levels, with lower gross margin for custom business and higher for commercial business.The scope of each statement is different and cannot be interpreted as the company removing early profit pressure. Maintaining overall margins requires a mix of high-margin businesses and ensuring new R&D and delivery costs don’t swallow up the custom revenue contribution.

This is also the strongest operational argument for optimism on Qualcomm: a supplier entering a new market does not need to replicate legacy gross margins on initial orders and can still grow operating profits through technology reuse and scale.The limitations lie in unclear obligations for manufacturing services, and warrant costs not vanishing from shareholder returns. How much revenue Qualcomm delivers is only the first step—whether additional profits can cover new inputs will determine the economic value of this diversification.

Competitors Have Put Their Credit on the Negotiating Table

An independent report further amplified this change.The Information reported that Nvidia and AMD sometimes compete to provide credit guarantees for data center clients. This is legally and structurally different from Qualcomm granting warrants but points to the same business transformation: suppliers are turning to their balance sheets to win clients.

Even if a data center has land, electricity, GPUs, and prospective tenants, lenders still assess whether tenants can reliably pay rent over the long term.The leases mentioned may last up to 15 years, but without sufficient tenant credit, a project cannot secure construction finance. Chip vendors providing guarantees amount to deploying their own credit in the financing plan, helping clients cross the funding gap from purchase intention to actual build out.

This explains why strong demand and manufacturer-financed support can occur simultaneously.End clients may have logical reasons to use compute, but that does not mean their balance sheet can support an entire campus; if suppliers help secure financing, they gain a head start in delivery. Thus, competitive advantage extends beyond chip performance to whoever can enable a client’s purchase plan to come to life.

A guarantee is not an immediate commitment to pay all build costs, but the supplier assumes corresponding credit exposure.If tenants pay long-term, the financing arrangement supports delivery; if their business deteriorates, chip sales income must be weighed against potential obligations. Arrangements by Qualcomm, Nvidia, and AMD cannot be combined as a single capital loop—each assumes different risk profiles.

AMD management said at the Citi conference that demand for 2027 exceeds its plans, so they’re reviewing supply; it also pointed out that HBM (high-bandwidth memory), substrates, wafers, and advanced packaging are all tight.HBM quickly delivers data to accelerators, while packaging connects the relevant chips into usable products. Even if financing is solved, lacking these steps will limit deliveries—credit support cannot conjure capacity out of thin air.

The company expects Helios to ship in Q3 and ramp in Q4, and believes inference demand is growing faster than training.This schedule provides concrete support for the growth argument while also specifying risks: if ramp-up is constrained by supply, earlier client financing will not automatically convert to current-quarter chip revenue. Capital investment and supply coordination must be effective simultaneously; focusing on just one may misjudge growth pace.
