- Closing set for Sept. 30, 2026; maturities Sept. 30, 2029, 2030, 2033 across Series U, V, W notes.
- Base coupons: 5.34%, 5.39%, 5.64%; step up to 6.09%, 6.14%, 6.39% if debt-to-EBITDA exceeds 3.5x.
- Interest payable semiannually on March 23, Sept. 30; first payment due March 30, 2027.
- Notes guaranteed by MPC Products, Woodward HRT; default raises interest by 2%.
