Weave Communications is being taken private in an all-cash acquisition by Francisco Partners for $7.40 a share, valuing the company at about $650 million.
The purchase price represents a roughly 34% premium to Weave's closing stock price on Monday, the last full trading day prior to the transaction announcement, the companies said.
The transaction, which was unanimously approved by Weave's board, is expected to close in the fourth quarter, subject to customary conditions including regulatory and shareholder approvals.
Upon the deal's close, Weave will cease to trade on the New York Stock Exchange and become a private company. It will continue to operate under the Weave name and maintain its headquarters in Lehi, Utah.
Weave was founded in 2008 and serves as an all-in-one customer experience and payments software platform for small- and medium-sized healthcare businesses.
Chief Executive Brett White said the company's acquisition by Francisco Partners will enable it "to invest in our AI platform, deepen our payments and revenue cycle management capabilities, and further our vision of a better healthcare experience at every practice."
Shares jumped 32%, to $7.30, shortly after Tuesday's opening bell.
