Pipeline giant Williams Companies has agreed to acquire rival Momentum Midstream from private equity firm EnCap Flatrock Midstream in a deal valued up to $5.5 billion, the companies announced Monday.
The companies said Williams will pay about $3.5 billion in cash and debt consideration and $2 billion in stock.
With Momentum, Williams gets its hands on over 4,000 miles of gathering and transmission pipelines that serve the Haynesville Shale, a giant natural-gas field spanning East Texas and Louisiana. The infrastructure connects natural-gas drilling operations to power plants, industries and petrochemical facilities, as well as to a key supply node for Gulf Coast terminals that chill and export natural gas.
