Windtree Therapeutics sells Seismic IP and related assets to Seismic Operations for USD 150,000
Reuters2026/07/22 10:02- Windtree Therapeutics agreed to sell Seismic Pharmaceuticals’ cardiovascular program assets to Seismic Pharmaceuticals Operations in an asset purchase agreement dated Dec. 16, 2025.
- Upfront consideration totals USD 150,000 cash at closing.
- Windtree can receive USD 700,000 if the buyer completes a post-closing financing of at least USD 10 million.
- Windtree is also entitled to 20% of certain license-out economics tied to the transferred intellectual property, with a USD 1.2 million buyout option following a qualifying financing.
- The deal includes a planned transfer of control of a Taiwanese subsidiary effective no earlier than Jan. 1, 2026.
