Tactical Resources gets Nasdaq approval; to accelerate Texas rare earths project

Rare earths developer Tactical Resources Corp. (TSXV:RARE) announced Monday it has received approval from the Nasdaq Listing Center for the listing and trading of common shares on the Nasdaq Capital Market on completion SPAC transaction with Plum Acquisition Corp. III.

Under the deal, common shares in the capital of Tactical will be exchanged for common shares of New PubCo at an exchange ratio to be determined. Following the Closing, New PubCo common shares will begin trading on the Nasdaq Stock Market under the ticker symbol “TREO”.  

Tactical said the transaction positions the company to accelerate development of its Peak project in Hudspeth County, Texas – a rare earth asset with existing mined material, established infrastructure, and a pathway toward near-term processing and scale. 

Tactical is currently developing the Peak project located southeast of El Paso with the aim of becoming the next rare earth elements (REE) producer on American soil. Its flagship project contains the exclusive rights to acquire REE-enriched tailings and stockpiled materials extracted from the Sierra Blanca quarry. 

The company views Peak as one of only a few hard-rock direct-leach-extractable projects in the world, with initial quarry operating permits already in place.   

“As we prepare to enter the public markets, our focus remains on disciplined execution,” Tactical CEO Ranjeet Sundher said in a news release. “We are advancing our technical work programs, strengthening our operational foundation, and positioning the company to deliver measurable progress as a public company.” 

“This transaction brings Tactical to an important inflection point,” Plum Acquisition Corp CEO Kanishka Roy added. “Rare earths sit at the center of national security, advanced manufacturing, and energy transition priorities, yet viable near-term supply remains scarce.” 

The company controls what it believes is one of the only production-ready rare earth assets in the United States — ~4 million tons of REE-bearing tailings already mined and stockpiled at the quarry site, with an agreement in place to acquire the quarry itself.   

While most domestic rare earth projects are still a decade out from production, Tactical’s feedstock-first model skips the traditional mine development cycle, with no new mining or permitting required and the company says is positioning to move directly into processing. 

The transaction closing is expected to occur on or about July 28, 2026.
