** Railpen, the largest shareholder in Britain's IP Group IPO.L, said on Friday it has made a sweetened offer to take full control of the early-stage science investor, offering 61 pence per share in cash among other proposals.

** Moroccan phosphates and fertiliser producer OCP said on Friday it signed an agreement with U.S.-based Koch Ag & Energy Solutions to form a second joint venture, boosting their combined phosphate-based fertiliser production capacity to about 2.5 million metric tons annually.

** Telecom Italia's TLIT.MI board is leaning toward endorsing Poste Italiane's PST.MI €10.8 billion ($12.35 billion) takeover offer as fair, and is unlikely to push for a higher price, Bloomberg News reported on Friday.

** Australia's Perpetual has rejected a sweetened A$2.5 billion ($1.75 billion) takeover proposal from Swedish private equity firm EQT <EQTAB.ST>, it said, the second time the wealth manager has turned away its suitor in recent weeks.

** PayPal's <PYPL.O> board sees a $53 billion takeover bid by rival Stripe and private equity firm Advent International as undervaluing the company and facing regulatory and financing hurdles, a person familiar with the matter said, potentially setting the stage for negotiations over the future of the U.S. payments giant.

** European fund EQT raised its offer for Japanese website operator Kakaku.com <2371.T> to 3,450 yen ($21.25) per share from 3,000 yen, topping a rival offer from a consortium comprising SoftBank subsidiary LY Corp <4689.T> and Bain Capital.

** Australia's Coles Group <COL.AX> said it had ended discussions with U.S. private equity firm TPG Capital over a potential acquisition of Greencross Pet Wellness, sending its shares up as much as 5%.
