Metaplanet Announces Share and Warrant Allotment for Bitcoin Treasury Growth
Metaplanet has launched a dual-track equity financing initiative designed to expand its Bitcoin holdings while maintaining strategic capital efficiency. The company plans to issue new ordinary shares and warrants (the 26th and 27th series of stock acquisition rights) to institutional investors and strategic partners.
Strategic capital raising and BTC accumulation
The first tranche involves a third-party allocation of ordinary shares and the 26th series of stock acquisition rights to overseas institutional investors, targeting a maximum fundraising of ¥85.3 billion.
The issuance includes an immediate premium of 2% above the market price for ordinary shares and a 10% fixed premium on warrants, allowing Metaplanet to secure capital for Bitcoin accumulation without additional debt burden. The exercise period for the warrants spans two years, with provisions enabling the company to accelerate exercise if the stock price surpasses a set threshold.
The second tranche, the 27th series of warrants, is structured as an “at-the-market” offering with zero discount, allocated to the EVO Fund. This approach provides flexible access to capital while ensuring that the company’s Bitcoin per-share holdings continue to grow. Mechanisms such as mNAV-based exercise conditions and adjustable lower exercise prices safeguard both investor interests and Metaplanet’s strategic objective of maximizing Bitcoin holdings per share.
Long-term bitcoin treasury strategy
Through these measures, Metaplanet reinforces its long-term commitment to Bitcoin, emphasizing disciplined accumulation even during market volatility. The financing framework, combining ordinary shares and fixed-premium warrants, allows the firm to convert market fluctuations into strategic capital opportunities. Funds raised will primarily support Bitcoin purchases and crypto income-generating initiatives, alongside select debt repayments, establishing a robust foundation for future digital asset ventures.
The firm reports that its per-share Bitcoin holdings have grown consistently since the initiative began, reflecting a compound increase in BTC exposure that aligns with Metaplanet’s strategic goal of building a sustainable, Bitcoin-backed corporate treasury.
Meanwhile, Metaplanet secured approximately $854 million through a third-party allocation of 107.4 million ordinary shares and 1.07 million stock options, the company announced on March 16, 2026.
