According to Nasdaq Listing Rule 5605, the audit committee of a listed company must be composed entirely of independent directors, and independent directors must constitute a majority of the board. This regulatory reminder was triggered by recent changes in the company's board members, resulting in an insufficient number of independent directors. According to Nasdaq regulations, the company must submit a rectification plan within 60 days of receiving the notice. If the plan is approved by the exchange, the company may be granted a grace period of up to 180 days to complete the board restructuring.**Ongoing Compliance Pressure on Chinese Concept Stock Governance Structures**This is not the first Chinese concept stock company to face governance structure compliance challenges recently. As the U.S. Securities and Exchange Commission (SEC) tightens requirements for reviewing listed companies' audit work papers and the implementation details of the Holding Foreign Companies Accountable Act advance, regulatory pressure on Chinese concept stocks is shifting from financial compliance to corporate governance. Since 2023, more than 10 Chinese concept stock companies have received inquiries from exchanges regarding issues such as board independence and audit committee composition.Nasdaq market rules strictly define independent directors as those with no significant economic interests in the company, not current or former executives, and with no substantial business dealings with related entities. Many small and medium-sized Chinese concept stocks, due to limited board size and insufficient talent reserves, are more likely to hit compliance red lines when unexpected board changes occur.**Rectification Pathways and Market Impact Analysis**Based on past cases, companies usually resolve such compliance risks by electing additional qualified independent directors. Partners at law firms specializing in Chinese concept stock compliance consulting point out that there is currently a relative shortage of Chinese professionals in the U.S. capital market who have experience serving Chinese concept stocks and meet the qualifications for independent directors. Companies need to plan their board succession in advance. If rectification is not completed on time, Tiandi Hui Foods may face the risk of stock suspension or even delisting procedures. However, historical data shows that the vast majority of companies are able to meet the requirements by adjusting board seats within the grace period. Since 2022, about 90% of companies involved in Nasdaq compliance cases related to board composition have completed rectification within the first grace period. As of the latest trading day, Tiandi Hui Foods' share price was $0.82, with a market capitalization of approximately $12 million. This regulatory reminder did not trigger a sharp market reaction, but investors will continue to monitor the company's subsequent board nominations and shareholder meeting resolutions. According to the announcement, the company stated it will take necessary measures in a timely manner to restore compliance and submit a rectification plan within the prescribed timeframe.
