According to this agreement, the company is authorized to offer and sell common stock with a total value of up to $15 million in the open market from time to time through Jefferies as the sales agent. This stock offering will be conducted under the company’s existing “shelf registration” statement, which has previously been filed with the SEC and declared effective. The timing and amount of sales will be determined by the company at its discretion, depending on market conditions, the company’s funding needs, and other factors. Jefferies will receive a percentage commission from the total proceeds of the stock offering in accordance with the terms of the sales agreement. Through such financing arrangements, Silvaco Group aims to provide flexible funding sources for its working capital, capital expenditures, and other general corporate purposes. This move also reflects the company’s continued activity in the capital markets to support its business operations and strategic development.
