Company disclosures show that this Japanese listed company is advancing its Bitcoin treasury strategy into the US market. Its latest transaction partner is the Nasdaq-listed company Super League Enterprise, which, upon completion, will be renamed Superplanet with the stock code SUPA.

2,100 Bitcoins Injected Into US Stock Platform

According to the published arrangement, Metaplanet will inject 2,100 Bitcoins and 2.5 million US dollars in cash into Super League Enterprise in exchange for common stock, preferred stock, and warrants. According to the article, these Bitcoins are valued at approximately 132.1 million US dollars.

This transaction marks Metaplanet's first establishment of an operational base outside Japan. The company's CEO, Simon Gerovich, stated that this move aims to leverage the deeper US capital markets by managing the group's Bitcoin holdings across two listed platforms.

Transaction Structure Differs From Common Treasury Financing

The report quotes analysts as saying that this transaction is different from the common SPAC plus PIPE treasury deals seen over the past year. The core difference is that Metaplanet is using the Bitcoin on its own balance sheet, rather than relying on funds raised via third-party discounted financing.

  • The number of shares was determined on August 14
  • No adjustments for Bitcoin price fluctuations prior to closing
  • Equity pricing is close to the target company's previous closing price

Benchmark-StoneX analyst Mark Palmer also mentioned that the shares obtained by Metaplanet are subject to a five-year lock-up period. This makes the deal more akin to a long-term holding and platform layout rather than a short-term financial operation.

US Expansion Goes Beyond Holding Coins

According to disclosures, Metaplanet currently holds 43,000 Bitcoins, making it the third largest corporate Bitcoin holder in the world, based on official releases. The injection of 2,100 Bitcoins into a US platform also indicates its strategy is shifting from simple accumulation to cross-market expansion.

Previously, the company acquired a Japanese securities firm, prepared to launch Bitcoin yield products, introduced Bitcoin-backed Bitbonds, and revealed plans to set up a US subsidiary to implement a 250 million US dollar Bitcoin strategy.

Additional Information: The report mentioned that Metaplanet’s CEO defines this transaction as leveraging the same group Bitcoin position across two listed platforms, rather than operating the US business as an independent Bitcoin-holding entity.
